Search Results
SePrice owns and operates the search price services. The search price services display search results or links to third party websites that are gathered and indexed by SePrice's systems and computers as a result of a user query ("Search Results"). SePrice cannot be responsible for such Search Results and their content.

Personal Use Only
The search price services are made available for your personal, non-commercial use only. You may not reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the search price services.

No Automated Querying
You may not send automated queries of any sort to the search price services or to SePrice's computer systems without our prior written permission. "Sending automated queries" includes without limitation (a)using any software that sends various queries to the search price services to determine how a website or webpage "ranks" in the Search Results for various queries; (b)"meta-searching" the search price services; (c)performing "offline" searches on the search price services; (d) using any high volume, automated, or electronic means (including without limitation robots, spiders, scripts, or other automatic device) to access the search price services or monitor or copy the search price services or any Search Results.

Your Other Responsibilities:
You agree not to interfere with or disrupt the search price services, servers or networks connected to the search price services, or disobey any requirements, procedures, policies, or regulations of networks connected to the search price services. Without our prior written permission, you may not: (a) allow, enable, or otherwise support the transmission of unsolicited commercial advertising or solicitations via e-mail (spam) from, to, or using the search price services; or (b) frame the search price services, the SePrice homepage, or the Search Results, place pop-up windows over such pages, or otherwise affect the display of such pages

Trademarks
SePrice and other related trade names, graphics, logos, and service marks used on the search price services are the trademarks of SePrice and may not be used by you without our prior written permission. Notwithstanding the foregoing, trade names or other trademarks contained in the Search Results belong to third parties, and Become has no control over or responsibility for such trademarks.

Modification
We reserve the right, at any time, to modify the search price services or these Terms or to modify, suspend, or discontinue the search price services or any part thereof with or without notice. You agree that we will not be liable to you or to any third party for any modification of the search price services or these Terms or modification, suspension, or discontinuance of the search price services. Your continued use of the search price services following the notification of any changes to these Terms shall indicate your acknowledgement of such changes and agreement to be bound by the updated Terms.

Privacy
Your privacy is important to us. All information collected from you in connection with your use of the search price services is governed by our Privacy Policy. For more information, please see our Privacy Policy, which is incorporated into these Terms.

Exclusions and Limitations
Any claim, dispute, or controversy arising out of these Terms, the search price services, or the Search Results ("Claims") shall be resolved by final and binding arbitration before a single arbitrator ("Arbitrator") selected from and administered by the American Arbitration Association in accordance with its applicable rules. The arbitration hearing shall be held in Santa Clara County, California. The prevailing party shall be entitled to reimbursement from the other party of its reasonable attorney's fees, costs, and disbursements arising out of the arbitration. Either you or SePrice may seek interim or preliminary injunctive relief from a court of competent jurisdiction, California as necessary to protect the rights or property of you or SePrice pending the completion of any arbitration proceeding.

Indemnity
You agree to defend, indemnify, and hold harmless SePrice, its officers, directors, agents, and employees, from any and all damages, costs, claims, losses, expenses, or liabilities arising from or related to (a) any actual or alleged violation by you of these Terms; (b) any viruses, trojan horses, worms, time bombs, cancelbots, spyware, or other similar harmful programming routines input by you into the search price services; or (c) your violation of any rights of any other person or entity.

Notice and Procedure for Making Claims of Copyright or Intellectual Property Infringement
SePrice respects the intellectual property of others. In response to such notices, we may remove from the Search Results or disable access to websites containing material claimed to be infringing. Termination
We may terminate your use of the search price service without prior notice for any reason, in our sole discretion, including without limitation, if we believe that you have violated these Terms. You may discontinue your access to the search price service at any time.

Removal of Links
SePrice may remove any link from the Search Results. (a)in order to limit the liability of SePrice or any user of the search price service; (b)as required by law Become occasionally receives requests to remove links from its Search Results.

Dispute Resolution
Any claim, dispute, or controversy arising out of these Terms, the search price service, or the Search Results ("Claims") shall be resolved by final and binding arbitration before a single arbitrator ("Arbitrator") selected from and administered by the American Arbitration Association in accordance with its applicable rules. Miscellaneous
The Terms constitute the entire and exclusive and final statement of the agreement between you and SePrice with respect to the subject matter hereof, and govern your use of the search price service, superseding any prior agreements or negotiations between you and SePrice with respect to the subject matter hereof. The Terms and the relationship between you and SePrice shall be governed by the laws of the State of California, without giving effect to any choice of laws principles that would require the application of the laws of a different country or state.
SePrice's failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found to be invalid by either a court of competent jurisdiction or the Arbitrator, you and SePrice nevertheless agree that the court or the Arbitrator should endeavor to give effect to your and SePrice's intentions as reflected in this provision, and that the other provisions of the Terms remain in full force and effect. The section titles in the Terms are for convenience only and have no legal or contractual effect. Sections 1 and 5 through 16 shall survive any expiration or termination of the Terms.
